ANA to Make the Parent Companies of AIRDO and Solaseed Air Wholly-Owned Subsidiaries; Strengthening Domestic Flight Network with Brand Integration in Mind

On October 29, ANA Holdings signed a memorandum of understanding to make Regional Plus Wings—the holding company for AIRDO and Solaseed Air—a wholly owned subsidiary through a stock swap.

The two groups have long maintained a cooperative relationship through capital ties and code-sharing agreements. However, following the lifting of investment restrictions on major airlines in May 2026, they aim to strengthen the foundation of their domestic air networks in response to soaring operating costs, such as fuel and labor expenses. While maintaining the brands of AIRDO, which operates routes in Hokkaido, and Solaseed Air, which operates routes in Kyushu and Okinawa, for the time being, the companies will integrate operational functions such as revenue management and procurement, with a view to eventually integrating them under the ANA brand.

Following the signing of the final agreement in late December 2026 and an extraordinary general meeting of shareholders in late February 2027, the stock swap is scheduled to take effect on April 1, 2027.
