Keisei Electric Railway to merge with wholly owned subsidiary Shin Keisei Electric Railway in 2025

Keisei Electric Railway resolved to merge with its wholly owned subsidiary, Shin Keisei Electric Railway, effective April 1, 2025.

On September 1, 2022, Shin Keisei Electric Railway acquired all shares of Shin Keisei Electric Railway and made it a wholly owned subsidiary in order to realize synergies such as “strengthening the business base and revitalizing the region in the northwestern part of Chiba Prefecture,” “strengthening competitiveness and expanding business scale through mutual utilization of management resources,” and “achieving efficient collaboration by leveraging economies of scale. The acquisition of all shares of Shin Keisei Electric Railway Co. In order to further improve management efficiency and speed up decision-making, the merger will be an absorption-type merger, with Keisei Electric Railway as the surviving company and Shin Keisei Electric Railway as the absorbed company.

Since the merger is with a wholly owned subsidiary, no shares or other money will be allocated. After the merger, there will be no change in the surviving company’s name, address, representative, business, capital, or fiscal year end.

Since the merger is with a wholly owned subsidiary, the impact on consolidated results is expected to be negligible. The merger is expected to result in the recording of a gain on extinguishment of tie-in shares as an extraordinary gain in the non-consolidated financial results for the fiscal year ending March 31, 2026, but the amount has not been determined at this time.
